You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your personal or internal business use, subject to these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services or Host209 Content without our prior written consent.

5. User Content and License

You may upload or transmit content (e.g., websites, databases, code) in connection with your use of the Services (“User Content”). You retain ownership of your User Content, but you grant Host209 a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit your content solely for the purpose of providing the Services.

You represent and warrant that:

You own or have lawful rights to upload and use all User Content;
Your User Content does not infringe the rights of any third party or violate any law.

6. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOST209 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT;
UNINTERRUPTED OR ERROR-FREE ACCESS;
SECURITY OR ACCURACY OF INFORMATION;
SUITABILITY OF HOSTED CONTENT FOR ANY PURPOSE.

We do not warrant that the Services will meet your requirements or expectations.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOST209, ITS OFFICERS, EMPLOYEES, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOSS OF PROFITS, REVENUE, OR DATA;
BUSINESS INTERRUPTION OR SYSTEM FAILURE;
DAMAGES EXCEEDING THE FEES YOU PAID TO HOST209 IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

This limitation applies even if Host209 was advised of the possibility of such damages.

8. Indemnification

You agree to defend, indemnify, and hold harmless Host209 and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your use of the Services;
Your breach of these Terms;
Your violation of applicable laws or third-party rights;
Your User Content.

9. Account Termination

We may suspend or terminate your access to the Services at our sole discretion, with or without cause, and with or without notice, if:

You violate these Terms;
We are required to do so by law or court order;
Your use threatens the security, integrity, or availability of our infrastructure;
Non-payment of fees or misuse of our systems.

Upon termination:

Your right to use the Services ceases immediately;
We may delete or retain your data in accordance with our Privacy Policy;
Any outstanding fees remain due and payable.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

11. Dispute Resolution

A. Informal Resolution

You agree to first attempt to resolve any dispute with us informally by contacting john@mailbox10.com.

B. Binding Arbitration

If we cannot resolve the dispute within 30 days, either party may initiate binding arbitration in San Joaquin County, California, administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. You waive the right to a trial by jury or to participate in a class action.

C. Exceptions

Nothing in this section prevents either party from:

Seeking injunctive relief in a court of competent jurisdiction;
Filing a claim in small claims court for eligible matters.

12. Modifications to Terms

We reserve the right to update or modify these Terms at any time. When changes are made:

We will update the “Effective Date” above;
We may provide notice via email or banner notification;
Your continued use of the Site or Services constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Host209 regarding your use of the Services and supersede all prior agreements.

16. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision.

17. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

18. Force Majeure

Host209 shall not be liable for any delay or failure in performance resulting from acts beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, labor disputes, power outages, internet failures, or legal changes.
